1. TERMS & CONDITIONS

    1. These terms & conditions are legally binding between the person downloading the app or accessing the website and "Adeona Technologies Private Limited" which operates from its registered office located at : 302, Balaji Business Centre, Subhash Road, Vile Parle East, Mumbai 400057.
    2. By downloading the application or accessing the website you shall be giving consent to defined Terms & Conditions & will be bound by existing Information technology Act 2000 / 2008 & Rules defined and other law as applicable in India.
    3. Acceptance of the General Terms and Conditions and Privacy Policy is mandatory in order to use services provided by Adeona Technologies Private Limited. The use of services provided by Adeona Technologies Private Limited implies/denotes full acceptance of the General Terms and Conditions and privacy policy.
    4. Change in Terms & Conditions / Amendments
      1. The Terms & Conditions may be amended at any time by the Company. All such amendments shall be binding on you after the amended Terms are made available on the Website / Mobile application. If you do not agree with any such modification, your sole and exclusive remedy is to terminate your use of the Services with no liability to the Company.
      2. Although Adeona Technologies Private Limited will attempt to notify you when major changes are made to these Terms & Conditions, it shall be solely your responsibility to read and understand the most up-to-date version of the Terms on the Website / Mobile Application. Nothing in these Terms shall be deemed to confer any third-party rights or benefits.
  2. DEFINITIONS

    1. Adeona Technologies Private Limited hereafter will be termed as Adeona.
    2. Service provided by Adeona is to provide platform for connecting car rental companies, taxi services to retail and corporate end users.
    3. USER - states any person who has attained the age of majority under Indian Law (18 years of age), who has downloaded application on mobile in order to utilize the services provided by Adeona.
    4. SERVICE PROVIDER – states any individual or entity who has gone through the onboarding and screening process of Adeona and has subscribed to being service provider. The service provider will be liable to execution of services to the Users as per the laid down SLA's on the platform.
    5. The User can choose from services published by multiple service providers.
    6. Cost – states the amount calculated with the commercials published by the service provider n Adeona in relation to service which is payable by the user. For the purposes of interpretation, it is clarified that the said term is a direct settlement with the service provider and Adeona will function as a intermediary in transferring the agreed fare from the user to the service provider.
    7. Trip - states the journey in relation to which the User and the Service Provider have agreed upon a transaction through the application. It is the journey from the departure point to the agreed destination and a choice of service type that the user and service provider have agreed. Eg. Local Transfer – Point to point transfer within a city, Local Packages – A vehicle booked at disposal for a minimum period of time or Intercity Usage – Usage between cities.
    8. Reporting Place - states a previously agreed upon location/ place between the User and the Service provider, from where the service providers vehicle will pick up user in order to commence the trip.
    9. Account / User account - states an internet account opened by the USER through mobile application in order to use the services provided by Adeona.
    10. Policy & Conduct is a series of values and behaviors set in order to turn viable the proper and effective functioning of the services provided by Adeona and assure a positive interaction between Users.
  3. REGISTRATION AND USAGE OF APPLICATION

    1. By registering & using Adeona application, user is bound to provide true, and accurate information, as sought at the time of signing up and from time to time where it is required. Adeona does not verify or control the accuracy of the information provided by the users.
    2. In case of non- compliance of any of the Terms and Conditions by any user, Adeona reserves the right, to withdraw the account of the user and discontinue all services for that user without any notice.
    3. Adeona reserves the right to verify the information provided by its Users; if Adeona notices given information by the user is not correct, then the user agrees to provide Adeona, additional information or documents when requested, to establish authenticity of the account. If an account is found to be fake, not genuine or duplicate, Adeona reserves the right to delete such account without any notice/ warning or the like.
    4. Adeona is not requesting for any personal password or other information which is not relevant and will not be responsible for any consequences resulting from a User sharing his/her personal password of the account with third parties. In the above event it will be the User who will be held responsible for such negligence.
    5. The registration with Adeona as a user is non-transferable.
  4. INTELLECTUAL PROPERTY

    1. The format and content included on the website / application, including logo, graphics, button icons, video, audio, digital data, text and software is the property of Adeona and is protected by Indian and international Intellectual & copyright and authors' right.
    2. All rights are reserved in relation to any trademarks registered and unregistered licensed or owned by Adeona which exist on website / application.
    3. Web site or application or any part of web site / application should not be copied, downloaded or sold or otherwise used for any commercial / Noncommercial purpose without express written consent of Adeona.
  5. SERVICE FROM WOW

    1. Adeona does not provide any transport services. The application / website is a platform for Users and Service Providers to transact with each other in a transparent manner. Adeona does not interfere with rides, destinations, timings. Adeona is not a party in any way to any agreement or transaction between user, nor is Adeona liable in respect of any matter arising which relates to a booking between User and the Service provider.
    2. If any violation to the defined Terms and Conditions is noticed Adeona reserves the right to withdraw services for USER or Service Provider without any notice & account may be removed permanently from the database.
    3. No agreement or arrangement between the User/Service Provider and Adeona shall constitute or be deemed to constitute a partnership or agency or joint venture.
    4. User and Service Provider consents to Adeona acting exclusively providing platform for convenient and transparent transactions. Adeona is exempted from any other responsibilities that might be established at the User's or Service Provider's own risk.
    5. SOS option is provided during the trip to the users to alert their emergency contacts (Individual and corporate) as pre-determined by them in their profile.

    Adeona does not guarantee following:
    Services will satisfy the Users' needs; services are error free and completely safe; information provided by other Users is authentic and updated; gadgets/device used to access Adeona's Services will not suffer any damage.

  6. Service Providers / Users Agree to

    1. Service Provider adheres to:
      1. The vehicle has a valid commercial registration with all other mandatory and statutory requirements fulfilled as prescribed by the local rules and regulation of the transport authority.
      2. The Driver has a valid Driving License for herself / himself for driving in India. Ride shall not be for any unlawful or criminal activity or with intention to cheat.
      3. On demand by User, the service provider's driver shall show his valid driving license and other necessary documents related to the vehicle.
      4. Fully attempt to be available on time at the Reporting place which is agreed via mobile application or over discussion with the defined vehicle; co-ordinate with the User directly in case of delays. Adeona is not responsible or liable for any such delays.
      5. In the event the Service provider, for whatever reason fails to pick up User he/she must cancel the scheduled trip before the pickup time via the option provided within the application. Adeona will not be responsible for any such cancelation and cannot be held liable for the same.
      6. The cancelation charges/penalties if any will be directly borne by the service provider.
      7. The drivers of the service provider will abide by good conduct during the entirety of the trip; Read, understand and adhere to the guidelines available in the application and the website.
      8. The drivers of the service provider will present himself/herself in decent clothing or I uniform if subscribed by local transport authority regulations. and
      9. During the ride, User has an option to press SOS button provided within the application, in case of emergencies or mishaps or suspected mishaps, which will enable him/her to send SMS alerts to his/her emergency contacts who he/she has already chosen to be informed during such situations, while updating his profile in the application. Adeona is not liable take it forward with the police or any such authorities in such situations.
    2. The User adheres to:
      1. Trip shall not be for any unlawful or criminal activity or with intention to cheat.
      2. Entitled to ask the Driver any documents relating to the vehicle and Service provider, at any time during the trip.
      3. Present himself/herself on time at the Reporting place Point agreed with the Service Provider;
      4. Abide by good conduct himself/herself during the entirety of the trip; Read, understand and adhere to the guidelines available in the application and the website.
      5. Present himself/herself in decent clothing.
      6. If the User decides to cancel the scheduled ride, he/she must do so before the pickup time via the option provided within the application. In case of cancelation within stipulated time as published in the cancelation policy a cancelation charge might be applied by the service providers. The User is liable to pay these cancelation fees if applicable. Adeona will not be responsible for any such cancelation and cannot be held liable for the same.
      7. During the trip, User has an option to press SOS button provided within the application, in case of emergencies or mishaps or suspected mishaps, which will enable him/her to send SMS alerts to his/her emergency contacts who he/she has already chosen to be informed during such situations, while updating his profile in the application. Adeona is not liable take it forward with the police or any such authorities in such situations.
    3. Common obligations:
      1. Service Provider or User shall contact each other to discuss and agree upon any conditions of travel such as accompanying minors, pregnancy, medical conditions, luggage, pets, video/music etc. These will be mutually agreed upon between User and Service Provider. Adeona is not liable for any aspect of any such agreement.
      2. The Service Provider agrees that if, the insurers repudiate or refuse to accept any claim arising during a Trip for any reason, the Service Provider will be responsible for the financial loss and damages. Adeona will not be liable under any circumstances to User or Service provider.
    4. Payment / Cost contribution:
      1. Cost is predetermined by the service provider for multiple service types and the same is Published to the user prior to seeking a confirmation.
      2. The fare calculation for various service types is as follows:
        1. Local Transfer: Booking Charge + Per Km Rate + Per Minute Rate
        2. Local Packages: Basic Rate (Includes Minimum Hours and Kms) + Extra Hours and /Extra Kms (If applicable)
        3. Outstation Packages: Basic Rate (Includes Minimum kms per calendar day) + Extra Kms if applicable
  7. DISCLAIMER OF LIMITATION

    1. Adeona will not be responsible for any loss or damage for:
    2. In accurate or misleading, inaccurate or incomplete information being provided by a User;
    3. The cancellation of a Trip request by a Service Provider or User;
    4. Any failure to make payment of Trip Cost by a User;
    5. Any loss of belongings, loss arising out of accidents on road during Trip, Any fraud, fraudulent misrepresentation or breach of duty or breach of any of these Terms and Conditions by a Service Provider or User before, during or after a Trip.
    6. Adeona will not be liable to any User for any business, financial or economic loss or for any consequential or indirect loss like, but not limited to,- loss of reputation, bargain, anticipated savings or loss of opportunity arising as a result of using Adeona's services.
    7. Users understand that Adeona only provides a Transaction platform where Users and Service providers will connect and transact in a transparent manner. The role of Adeona is limited to the above. The User understands and agrees that Adeona cannot be held responsible for any acts or omissions by any User, like but not limited to, robbery, thievery, missing an appointment due to some act or omission of the User or Service Provider or any third party, any argument etc, including the non-compliance with the Users' obligations. The User understands and accepts that offering and accepting Trips through Adeona is done at the Users' own risk. Adeona recommends that every transaction is made with good sense.
  8. VARIATION OF THE TERMS & CONDITIONS, SITE AND SERVICE

    1. Adeona reserves the right to modify the Terms and Conditions at any time. In addition, Adeona may vary or amend or withdraw the Services provided through the application/website, the application/website functionality and/or the "look and feel" of the application/website at any time without notice and without liability to its Users.
    2. Any modification to the website/application, services or conditions will take effect as soon as such changes are published.
    3. Users will be deemed to have accepted any varied Conditions in the event that they use any Services offered through the website/application following publication of the varied conditions.
    4. Adeona does not guarantee the System will be continuously available, error free; therefore is not responsible for any damage dealt to Users due to such error.
    5. The User also agrees that Adeona is not responsible for any damage caused to his/her gadgets as a result of using Adeona's website/application.
    6. Not adhering to any of these Terms or any other Conditions defined will be considered as breach of Terms & Conditions. Adeona reserves the right to investigate & publish the fact of such breach & warn user or to suspend further services & remove from database.
  9. GOVERNING LAW AND ARBITRATION

    1. These Terms are governed by and shall be construed in accordance with the contact law, Information Technology Act 2000, 2008 & further rules & other laws of India without respect to its conflict of laws' provisions.
    2. Disputes, if any, shall be attempted to be resolved amicably. Unresolved disputes shall be referred to an independent, sole arbitrator in Mumbai appointed by Company in accordance with the procedure established by the Arbitration and Conciliation Act, 1996. Subject to the foregoing, you hereby consent to the exclusive jurisdiction of the Courts in Mumbai.

  • Collection of personal information

    When you use Adeona Website / Mobile application, Adeona collects and stores your personal information which is provided by you from time to time. The information provided by you may include but not be limited to your Name, Gender, E-mail ID, Phone number, Vehicle Registration No. You consent to Adeona to use your information to create a user account that will allow you to participate in the service. You will be solely responsible for the information provided by you. You agree that the information provided by you to Adeona will be complete, correct and up to date. You agree that Adeona and other people in the public may rely on your information as correct, complete and true. You acknowledge that if information provided by you is untrue, fake, misleading, incorrect, incomplete, inaccurate or not current in any respect, you will be solely responsible for it and Adeona has the right to terminate this agreement and your use of the services. Personal information collected by Adeona will not be used for any other purpose other than communication from Adeona.

  • Storage of information

    Adeona stores your personal data and information in its database. Adeona reserves a right to retain your personal data and information for indefinite period even after the termination of your account. This is done for security reasons and other future purposes.

  • Sharing your personal and other information

    Adeona may share personal information with its other corporate entities and affiliates to help detect and prevent identity theft, fraud and other potentially illegal acts; correlate related or multiple accounts to prevent abuse of its services; and to facilitate joint or co-branded services that you request where such services are provided by more than one corporate entity. Those entities and affiliates may not market to you as a result of such sharing unless you explicitly opt-in.

    Adeona may disclose personal information if required to do so by law or in the good faith belief that such disclosure is reasonably necessary to respond to court orders, or other legal process.

    Adeona may disclose personal information to law enforcement offices, third party rights owners, or others in the good faith belief that such disclosure is reasonably necessary to: enforce its Terms & Conditions and Privacy Policy; respond to claims that an advertisement, posting or other content violates the rights of a third party; or protect the rights, property or personal safety of its users or the general public.

    Adeona and its affiliates will share / sell some or all of your personal information with another business entity should Adeona (or its assets) plan to merge with, or be acquired by that business entity, or re-organization, amalgamation, restructuring of business. If such a transaction occurs that other business entity (or the new combined entity) will be required to follow this privacy policy with respect to your personal information.
